PWKSKS2|'EE  8\s<""="|$h,!/@  STUDENT ACADEMIC COOPERATION AGREEMENT This STUDENT ACADEMIC COOPERATION AGREEMENT ( Agreement ) is made as of BY and BETWEEN AND COMMUNICATION UNIVERSITY OF CHINA, located at No. 1 Ding Fuzhuang East Street, Chaoyang District, Beijing 100024, People's Republic of China ( CUC ). Whereas and CUC are interested in promoting academic exchange and cooperation between the two institutions, in particular offering joint degree programs; NOW THEREFORE, the parties hereby agree as follows: I. Student Exchange Programs Both parties have agreed to implement within the framework of the statutes and regulations applicable in each Party s institution, and amongst other things, student exchange program [hereinafter referred to as  the Exchange Program ]. Number of Students. The exchange of students will be based on the principle of reciprocity during the duration of this Agreement. On an annual basis, each Party will nominate two (2) qualified students to the other. The Parties will review the Exchange Program annually for any imbalances in the number of exchange students and will adjust the number of students over the duration of this Agreement, as necessary to maintain a reasonable balance in the Exchange Program. With the approval of two Parties, any students exceed the agreed number can go to study for one (1) semester to the host university and pay tuition fee to the host university. Period of Enrollment. The Exchange Program for individual students may be for a period of one (1) semester or for a period of one (1) academic year. Any variation to these periods of enrollment may only be allowed upon mutual agreement in writing by the Parties. Eligibility of Exchange Student Applicants. It is understood that both Parties will strive to designate only well-qualified students for participation in this Exchange Program and that the academic background of each exchange student as well as letters of recommendation, will be provided by the home institution to the host institution. It is also understood that exchange students must meet language proficiency requirements and any other academic requirements established by the host institution. Academic Status of the Exchange Students. All exchange students will remain enrolled as students of the home institution and will not be accepted for enrollment as candidates or students for any degree at the host institution. Accordingly, exchange students are expected to maintain the equivalent of a full course load at the host institution. Any credits towards the exchange student s degree are to be awarded by the home institution, subject to its rules and regulations and approval by the relevant approving authority of the home institution. All exchange students enrolled in the host institution will be subject to the same rules and regulations as local students. Selection and Screening by the Host Institution of Students Nominated by the Home Institution. The home institution will nominate applicants from its institution for the Exchange Program. The host institution reserves the right to determine the final selection and admission of each student nominated by the home institution. The exchange students must satisfy all admission requirements including the language proficiency requirement of the host institution. Both institutions must advise annually the dates by which applications must be received. A complete set of application papers will normally consist of: host institution application forms; official copy of applicant s academic transcript; other supporting letters and academic background materials relevant to specific course selections, as requested during the application process. Responsibilities of the Host Institution After Admission of Exchange Students Nominated by the Home Institution. The host institution will provide such exchange student with formal letters of admission and other documents as may be required for establishing his/her student status for visa and other purposes. The host institution will assign admitted exchange student to the appropriate school, department or division of faculty, and to appropriate academic advisers. All appropriate student services and facilities of the host institution will be made available (where possible) to exchange students. After the exchange student s completion of the period of study, the host institution will send the academic transcripts of the student s work to the appropriate officer of the home institution. Fees and Benefits at Host Institution. Each exchange student will pay his or her regular fees for tuition, registration, admission and any other fees payable to the home institution and will receive any benefits from the host institution that are available for exchange students. Any additional benefits for exchange students may be provided by mutual written agreement between the Parties. Miscellaneous fees such as key deposits, books, etc., will be paid directly by each exchange student to the host institution. Each exchange student shall be responsible for his or her own costs and expenses at the host institution including without limitation his or her own costs and expenses in travel, meal and accommodation. However, the host institution agrees to assist exchange students in obtaining accommodation for the period of the Exchange Program. Whenever necessary, the Parties will provide a guide as to the expenses to be encountered by the exchange student while living in the host country. Insurance, Entry and Visa Requirement. Each exchange student should purchase his or her own health and accident insurance. Proof of adequate insurance coverage must be submitted to the administrative body of each Party. Neither Party will assume responsibility for expenditure derived from the student illnesses or accidents. Each exchange student shall ensure that all entry and visa requirements of the country of the host institution are complied with. Both Parties agree to provide the exchange student with information regarding the pertinent legal provisions of each host country. Others. Exchange students will be expected to abide by the laws and customs of the host country and by the policies, rules and regulations of the host institution. Where possible they will also be required to sit the same examinations for the courses in which they are enrolled as students for the host institution. Upon completion of the Exchange Program at the host institution, the exchange students must return to their home institution. II. Additional Cooperation The parties may agree to other potential forms of academic cooperation, including certificate programs, joint seminars, summer programs, internship programs, and any other initiatives developed by the parties. III. Term and Termination The Term of this Agreement will commence on the date hereof and continue for an initial period of five (5) years. Notwithstanding the foregoing, either Party may terminate the Agreement early as follows: If either Party is in material breach of the Agreement, the other Party may terminate the Agreement upon 30 days written notice unless the breaching Party has cured the breach within the 30 days; and Either Party may terminate the Agreement for any reason upon six months written notice to the other Party. Upon expiration or termination of the Agreement, no further students shall be recruited or admitted to the joint degree programs, but any students already admitted to any of the programs will be allowed to finish their studies in those programs in accordance with the terms of this Agreement. IV. Miscellaneous Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all previous oral and written agreements. Any amendment will only be effective which is in writing and executed by both parties. Assignment. Neither party shall assign this Agreement to any third party of affiliate without the written consent of the other party. Independent Contractors. The parties are independent contractors, and nothing in this Agreement will be deemed to create a joint venture or agency. Neither party will have the right or authority to bind the other in any manner. Confidentiality. The Parties agree to keep any confidential or proprietary information exchanged under this Agreement as confidential both during and following the Term. The Receiving Party will use at least the same standard of care to maintain the confidentiality of the Disclosing Party s confidential information that it uses to maintain the confidentiality of its own confidential information of equal importance. Use of Name. Neither party will make any use of the other party s name, trademarks or copyrights in connection with the implementation of this Agreement, including on any advertising and promotional materials, without the other party s express prior written approval in each instance. Indemnification. The parties hereby undertake to indemnify and hold harmless each other from and against any third party claims, demands, losses, or expenses (including reasonable attorney s fees) made or asserted by or against either party on account of any omission or commission by the other party or its staff/ employees/ authorized representative/s in connection with the Agreement. Governing Law and Jurisdiction. By the signatures of their duly authorized representatives below, the Parties, intending to be legally bound, agree to all of the provisions of this Agreement as of the date written herein above. V.
